TERMS AND CONDITIONS

Welcome to the Cempaka website. By accessing or using our website, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website.

1. PRODUCTION INFO

Cempaka shall produce and deliver the furniture products as specified in the purchase order, in accordance with the agreed-upon ID design, SDs, materials, and quality standards.

Cempaka shall ensure that all products are manufactured in compliance with applicable laws and regulations in Indonesia unless otherwise agreed with client.

Cempaka shall provide the Client with weekly production updates and notify client of any delays or changes to the production schedule.

All Cempaka woods adhere to the strongest possible environmental standards and are either FSC or SVLK certified.

2. PRICING

  • The prices quoted by Cempaka are valid for a period of 30 days from the date of the quote.
  • Prices are based on the cost of materials, labor, and overheads at the time of the quote, if confirmation of order is delayed then Cempaka reserves the right to re issue quotation based on current prices
  • The prices quoted are ex works for orders outside Indonesia. Orders within Indonesia will be subject to the prevailing rate of PPN

3. MINIMUM ORDER QUANTITY

As a contract manufacturer Cempaka we do not impose any MOQs for order however the total value of the order must exceed US$10,000

4. PAYMENT TERMS

  • The Client shall pay 50% of the total order value as a deposit (DP) upon placement of the order.
  • The balance of 50% shall be paid before the Cempaka ships the products.
  • Payment shall be made in the currency specified in the invoice, by bank transfer or other payment methods agreed upon by the parties.
  • The Client shall be responsible for any bank charges or transfer fees associated with the payment.
  • The balance is payable before delivery

Payment terms are negotiable depending on the project scope and final agreement between Cempaka and Client.

5. TAX

Cempaka shall charge and collect all applicable taxes, including value-added tax (VAT), sales tax, and other taxes, on the sale of the products as applicable.

  • The Client shall be responsible for paying all taxes, duties, and other charges associated with the importation of the products into their country unless otherwise agreed.

6. PRODUCTION DESIGN DEVELOPMENT

Cempaka shall ensure that all products are designed and manufactured in accordance with the Client’s specifications and requirements.

Once order confirmed SD development is a 2-4 weeks process depending on the number of SKUs.

Full production will commence only when SDs are approved and full DP received.

7. SAMPLES

Cempaka shall provide the Client with finishing samples of the products and SDs as requested for approval before production

The Client shall be responsible for cost for any modifications or changes to the samples once SD is signed off. Mock up samples must be fully signed off prior to production.

8. ADDITIONAL CHARGES

Cempaka shall charge the Client for any additional services or work required to complete the order, including but not limited to:

  • Changes to the design or specifications after production has commenced.
  • Expedited shipping or delivery.
  • Special packaging or handling requirements.

9. TERMS ARE EX WORKS UNLESS AGREED

Cempaka terms are Ex Works (EXW) unless otherwise agreed upon by the parties.

The Client shall be responsible for arranging and paying for transportation, insurance, and other logistics costs associated with the delivery of the products unless agreed otherwise in advance.

10. PACKAGING

Cempaka shall package the products in accordance with standard industry practices and the Client’s specifications.

The Client shall be responsible for paying for any special packaging or handling requirements.

11. SHIPPING

  • The Client shall be responsible for paying for all shipping costs, including freight, insurance, and other charges unless otherwise agreed

12. PRODUCT CARE

Cempaka shall provide the Client with instructions and guidelines for the care and maintenance of the products.

The Client shall be responsible for following these instructions and guidelines to ensure the products are used and maintained properly.

13. WARRANTY AND CLAIMS

FURNITURE WARRANTY

Each item of furniture provided by Cempaka shall be free from manufacturing defect in materials, workmanship and construction for a period of 12 months from shipping date.  If a defect does appear within the warranty period, Cempaka will take the corrective measures described below.

IMPLIED WARRANTIES

No implied warranties including warranties of merchantability or fitness for a particular purpose extend beyond the term of the terms of this warranty.

REMEDIES

Cempaka will remedy a manufacturing defect in any of the project furniture provided that notice of the defect is received within the warranty period (starting at the date of shipping). The client should provide a detailed defect report with photographs. Cempaka will respond within two weeks of defect report and Cempaka and/or its appointed contractors will conduct a site inspection to verify the defect(s). If a manufacturing defect is found the item will be repaired. If repair is deemed impossible, the item will be replaced at Cempaka’ cost.

Because of the custom nature of the products, identical materials may not be available at the time of repair or replacement. In such cases, Cempaka reserves the right to substitute materials of equal quality. Client will not be charged for repair services or for the replacement furniture.

Repair or replacement of the furniture does not extend beyond the duration of the warranty period.

IMPROPER USE/WEAR AND TEAR

The project furniture must be properly installed, stored, cleaned, and maintained.  Proper storage is climate-controlled.  Proper cleaning and maintenance is determined by Cempaka.

Cempaka will not repair or replace furniture with any non-conformities or damage caused by other than normal and proper usage or contributed to by improper storage (including uncontrolled environments such as outdoor storage containers, tarps, etc.), improper maintenance, incorrect installation, misuse or abuse, alterations made by the client, faulty repairs made by any person other than Cempaka and/or its agents.

NORMAL WEAR AND TEAR

Cempaka will not repair or replace furniture that is deemed to have been damaged by normal wear and tear within commercial usage.

FREIGHT DAMAGE

This Warranty does not cover damage caused by common carrier. Any damages relating to freight should be referred to shippers insurance. 

SOLID WOOD MATERIALS

Solid wood is a natural product that shrinks and expands as it acclimates to changes in temperature and humidity. All Cempaka woods are kiln dried at the factory to between 8-12 percent depending on wood species. It is recommended for interior table tops, panels and casegoods are manufactured based be a combination of solid wood edges, MDF and veneers to minimize movement in the woods. Solid item construction to be agreed between client and Cempaka during development process.

HOW TO MAKE A CLAIM

In the case of manufacturing defects client must submit a detailed claim with photographs outlining the nature of the problem. Cempaka and/or its agents will schedule an inspection within 2 weeks of official receipt of defect and if a defect is confirmed we will undertake to remedy the problem within 4 weeks. If the item cannot be repaired then Cempaka will undertake to send a replacement.

EXCLUSIONS

We exclude and will not pay for any loss, expense, or damage that may result from a defect in the furniture, other than such as is to the furniture itself. The remedies provided under this Warranty state the limit of Cempaka’ responsibilities.

Claims for normal wear and tear, damage or defects caused by misuse, improper handling, damage from guest misuse, failure to complete manufacturer recommended routine maintenance are not covered under this warranty agreement

PAST DUE ACCOUNTS

Statement of account will need to be current with no past due balances outstanding before any remedial work will be undertaken.

14. CANCELLATION POLICY

The Client may cancel an order, subject to the following conditions:

  • If the cancellation is made before production has commenced, the Client shall forfeit the deposit paid.
  • If the cancellation is made after production has commenced, the Client shall pay for all work completed and materials used, in addition to the deposit paid.

Cempaka shall not be liable for any losses or damages incurred by the Client as a result of the cancellation.

By placing an order with Cempaka, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions. Cempaka reserves the right to modify or update these Terms and Conditions at any time, without prior notice.
